What Do You Need Help With?

Our registered representative services support FINRA licensing needs for firms that distribute registered and private funds. Our comprehensive services include:

Manage registered representative registrations, exam requests, Form U4 amendments, and annual renewals to support ongoing FINRA and state compliance requirements.

Oversee technology systems to monitor Rep data, issue compliance questionnaires and policy attestations, collect books and records, and supervise Reps.

Outsourcing administrative and supervisory support does not transfer a broker-dealer’s regulatory accountability. Firms remain responsible for maintaining appropriate oversight, governance, and compliance with applicable FINRA requirements.

Deliver a comprehensive compliance manual and related broker-dealer procedures to keep Reps informed of their responsibilities.

Ensure the capture and surveillance of Rep electronic communications to maintain compliance with regulatory standards.

Organize and execute an annual compliance meeting for all Reps to maintain awareness and adherence to policies.

Conduct periodic office inspections to monitor compliance and identify any potential issues or improvements.

Support the administration of the FINRA Firm Element Continuing Education (CE) Program, including annual assignments, tracking completion by registered persons, and maintaining related records. Firms remain responsible for oversight of their continuing education program and for meeting applicable regulatory requirements.

Provide training and support to designate supervising principals at offices of supervisory jurisdiction (OSJ), where applicable, to help firms maintain supervisory structures consistent with FINRA Rule 3110.

Registration administration includes managing representative registrations, exam requests, Form U4 updates, and annual renewals. Supervisory support includes overseeing registered persons through compliance questionnaires, attestations, communications monitoring, books and records, continuing education, and other supervisory activities. ACA Foreside can help firms determine the support model that fits their regulatory and operational needs.

FAQs

Registered Representative Licensing Services

Individuals associated with a broker-dealer who effect, or are involved in effecting, securities transactions must satisfy applicable registration and qualification requirements.

ACA Foreside can support registration administration for registered persons, including initial registrations, exam requests, Form U4 amendments, and annual renewals. This support helps firms manage key licensing activities efficiently while maintaining appropriate internal oversight.

A provider may support the administration of the FINRA Firm Element CE Program by coordinating annual assignments, tracking completion by registered persons, and maintaining relevant records. The broker-dealer remains responsible for oversight of its continuing education program and compliance with applicable requirements.

Firms may consider outsourced supervisory principal or CCO support when they need experienced compliance resources, additional supervisory capacity, or help establishing an appropriate oversight structure. The suitable model depends on the firm’s business activities, registered-person population, and regulatory obligations.

A broker-dealer remains responsible for its regulatory obligations, including maintaining an appropriate supervisory system, overseeing outsourced providers, and ensuring compliance with applicable FINRA and state requirements. Outsourced support can supplement internal resources but does not eliminate the firm’s accountability.

Registration administration supports licensing-related activities such as representative registrations, exam requests, Form U4 updates, and renewals. Outsourced supervision supports oversight activities, which may include monitoring registered persons, communications, attestations, books and records, CE, and supervisory processes.

ACA Foreside can provide support tailored to a firm’s supervisory and CE needs, including systems, tracking, training, and oversight resources. Firms remain responsible for maintaining appropriate governance and oversight of any outsourced compliance function.

Yes, individuals wholesaling securities must register with a FINRA member broker-dealer. [FINRA Rule 1210]

Registration requirements depend on the individual’s activities, affiliation and any applicable exemption. A securities offering exempt from Securities Act registration does not, by itself, exempt a person from broker-dealer registration

Yes, individuals soliciting investors or being compensated for it must register as a broker or be associated with a registered broker-dealer.

Yes, the SEC Rule 3a4-1 provides a safe harbour from broker registration for certain associated persons of an issuer who meet all applicable conditions.

Whether a finder must register depends on the facts and circumstances. Transaction-based compensation, solicitation or participation in negotiations can indicate broker activity.

You can perform administrative tasks, send marketing materials as directed by a registered individual, and engage in other passive or clerical duties.

If you’re involved in securities transactions, receive compensation based on the transaction’s outcome, or facilitate securities offerings, you may need to register.

Operating as an unregistered broker-dealer can lead to SEC/state enforcement, penalties, and potential lawsuits.

ACA Foreside can support applications for qualification-exam waivers, excluding the Series 24, subject to pre-due diligence and FINRA approval.

Passing the SIE alone does not qualify an individual to engage in securities business. The individual must be associated with a FINRA member and pass the appropriate representative-level qualification examination.

ACA Foreside cannot “park” or “hold” licenses. All individuals must meet ongoing qualification and registration requirements.

ACA Foreside reviews blockchain-related products for compliance, including investment objectives, security protocols, and SEC registration, if applicable.

ACA Foreside generally does not support 529 plans, which are municipal fund securities. Firms should confirm applicable MSRB, FINRA and registration requirements before marketing or selling 529 plans.
